TERMS OF USE - Revenue Monster Sdn Bhd (RMSB)

1. Introduction
These Terms of Use (“ToU”) govern the use of the Products and Services. Please read and understand all the terms and conditions in these ToU before using and/or continuing to use the Product and Services.
If you act on behalf of a business entity, you confirm that you are authorised to bind that entity to this Terms of Use.
2. Definitions & Account Registration
2.1 Definitions
Unless the context requires otherwise, the following terms have the meanings set out below:
- Account - your registered merchant account with RMSB used to access and manage the Services.
- Clearing Accounts - pooled accounts maintained by RMSB or its partners for receipt, holding, reconciliation, and settlement of Transaction funds.
- Customer - a payer or end‑user who makes a payment to you via RMSB Services.
- Dormant Account - an account that has seen no login, transaction, payout, or other activity for a period determined by RMSB under its policies.
- Guarantee - a personal or corporate guarantee demanded by RMSB to secure outstanding or potential obligations.
- Payment Method - any payment channel supported by RMSB (e‑wallet, online banking, card, etc.).
- Payment Method Provider - the institution or operator (bank, e‑wallet operator, card network) enabling a Payment Method.
- Payout Account - the bank account designated by you to receive settlement proceeds.
- Platform - RMSB’s applications, dashboards, APIs, portals or systems through which Services are provided.
- Prohibited Transactions - business types or transaction categories disallowed by RMSB and/or its Payment Method Providers.
- Reserve - portion or all of funds withheld by RMSB to cover potential risk, chargebacks, disputes or other obligations.
- RMSB, us, our, we - Revenue Monster Sdn Bhd [Registration No. 201701022672 (1236838-T)] having its address at 2nd Floor, B-2-30, Jalan PJU 6a/3a, 10 Boulevard, 47400 Petaling Jaya, Selangor
- Security Interest - RMSB’s interest over your funds or balances to secure any amounts owed.
- Settlement - process of transferring cleared transaction funds to your Payout Account.
- Services - all products, features, integrations, payment processing, reporting, dashboards, APIs, and other offerings by RMSB.
- Transaction - any payment, charge, refund, reversal, dispute, or other related operation processed via RMSB Services.
2.2 Account Registration & Eligibility
- You represent and warrant that you are a lawful business, sole proprietor, charitable organization, or otherwise qualified entity permitted under Malaysian laws.
- You must submit complete and accurate information (business identity, beneficial owners, contact, tax info, etc.) during onboarding.
- RMSB reserves the right to accept or reject any application at its discretion. Approval is required before the Account becomes active.
- You must promptly notify RMSB (within a defined timeframe) of any material changes (ownership, business nature, financial condition, etc.).
- Use of Services before approval is prohibited. RMSB may suspend or terminate unapproved Accounts at any time.
- Dormant Accounts may be treated per clause on Dormancy, including funds handling, abandonment, and closure.
3. Merchant Obligations & Use of Services
You agree to:
- use the Services only for lawful, genuine Transactions with real Customers;
- fulfill all orders, deliver goods/services, support customers and manage refunds/returns as RMSB only handles payment processing;
- maintain security of all credentials, API keys, login data;
- comply with applicable laws including taxation, consumer protection, data privacy, anti‑money laundering, and payment regulations;
- cooperate with RMSB investigations, verifications, audits when requested;
- not permit third‑parties to access your Account or use the Services on your behalf without RMSB’s written consent.
4. Underwriting & Ongoing Monitoring
RMSB may at any time conduct due diligence, request additional documentation, perform background checks, transaction reviews, or other verification procedures. RMSB may suspend, restrict, or terminate Services pending review or if risk indicators arise.
5. Fees, Charges & Taxes
- Fees for RMSB Services, processing, and transactions are as specified in your merchant agreement or fee schedule.
- RMSB may revise fees with prior notice before changes become effective.
- You are solely responsible for any applicable taxes, duties, levies or regulatory charges related to your business and transactions.
- RMSB may withhold amounts or report transaction data to meet regulatory or tax‑reporting requirements.
6. Prohibited Transactions Clause
You must not use the Services for any business or transaction falling under the “Prohibited Transactions” category, including but not limited to:
- Financial and professional services
- Investment & credit services: Securities brokers; mortgage consulting or debt reduction services; credit counseling or repair; real estate opportunities; lending instruments
- Money and legal services: Money transmitters, check cashing, wire transfers, money orders; currency exchanges or dealers; bail bonds; collections agencies; law firms collecting funds for any purpose other than to pay fees owed to the firm for services provided by the firm (e.g., firms cannot use RM to hold client funds, collection or settlement amounts, disputed funds, etc.)
- Virtual currency or stored value: Virtual currency that can be monetized, resold, or converted to physical or digital products and services or otherwise exit the virtual world (e.g., Bitcoin); sale of stored value or credits maintained, accepted and issued by anyone other than the seller
- IP Infringement: Regulated or illegal products and services
- Intellectual property or proprietary rights infringement: Sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder; any product or service that directly infringes or facilitates infringement upon the trademark, patent, copyright, trade secrets, or proprietary or privacy rights of any third party; use of RM intellectual property without express consent from RM; use of the RM name or logo including use of RM trade or service marks inconsistent with the RM Marks Usage Agreement, or in a manner that otherwise harms RM or the RM brand; any action that implies an untrue endorsement by or affiliation with RM
- Counterfeit or unauthorized goods: Unauthorized sale or resale of brand name or designer products or services; sale of goods or services that are illegally imported or exported
- Gambling: Lotteries; bidding fee auctions; sports forecasting or odds making; fantasy sports leagues with cash prizes; internet gaming; contests; sweepstakes; games of chance
- Regulated products and services (Disallowed unless appropriate license or consent is obtained): Marijuana dispensaries and related businesses; sale of tobacco, e-cigarettes, and e-liquid; online pharmacies; age restricted goods or services; weapons and munitions; gunpowder and other explosives; fireworks and related goods; toxic, flammable, and radioactive materials; products and services with varying legal status on a state-by-state basis
- Adult content and services: Pornography and other obscene materials (including literature, imagery and other media); sites offering any sexually-related services such as prostitution, escorts, pay-per view, adult live chat features
- Unfair, predatory, or deceptive practices
- Get rich quick schemes: Investment opportunities or other services that promise high rewards
- Mug shot publication or pay-to-remove sites: Platforms that facilitate the publication and removal of content (such as mug shots), where the primary purpose of posting such content is to cause or raise concerns of reputational harm
- No-value-added services: Sale or resale of a service without added benefit to the buyer; resale of government offerings without authorization or added value; sites that we determine in our sole discretion to be unfair, deceptive, or predatory towards consumers
- Products or services that are otherwise prohibited by our financial partners or regulation or directive by the appropriate authority
- Aggregation: Engaging in any form of licensed or unlicensed aggregation of funds owed to third parties, factoring, or other activities intended to obfuscate the origin of funds
- Drug paraphernalia: Any equipment designed for making or using drugs, such as bongs, vaporizers, and hookahs
- High risk businesses: psychic services; travel reservation services and clubs; airlines; cruises; timeshares; prepaid phone cards, phone services, and cell phones; telemarketing, telecommunications equipment and telephone sales;; forwarding brokers; negative response marketing; credit card and identity theft protection; the use of credit to pay for lending services; any businesses that we believe poses elevated financial risk, legal liability, or violates card network or bank policies
- Multi-level marketing, Pyramid schemes, network marketing, and referral marketing programs
- Pseudo pharmaceuticals: Pharmaceuticals and other products that make health claims that have not been approved or verified by the applicable local and/or national regulatory body
- Social media activity: Sale of Twitter followers, Facebook likes, YouTube views, and other forms of social media activity which are disallowed by the respective social media moderators and terms and conditions
- Substances designed to mimic illegal drugs: Sale of a legal substance that provides the same effect as an illegal drug (e.g., salvia, kratom)
- Video game or virtual world credits, Sale of in-game currency unless the merchant is the operator of the virtual world
7. Payment Processing & Transactions
- All Transactions are subject to Payment Method Provider rules, RMSB’s policies, and relevant regulations.
- Once RMSB confirms receipt of funds into its Clearing Accounts, RMSB deems Customer payment obligations met.
- You are responsible for verifying legitimacy of Transactions, handling customer due diligence and fraud detection.
- RMSB is not responsible for the quality, fulfilment, or legality of goods/services you sell, or any Customer disputes you must resolve.
8. Settlement & Payouts
- RMSB will settle eligible Transaction funds to your designated Payout Account, subject to the settlement schedule and processing timelines.
- RMSB may withhold or delay settlement if:
- Transactions are disputed, refunded or reversed;
- Suspicion of fraud, money laundering, regulatory non‑compliance;
- Account is under review, suspended, or flagged for risk;
- Required by law, court order, or Payment Method Provider conditions.
- RMSB is not liable for delays caused by Banking partners, Payment Method Providers, or external system outages.
9. Reserves & Risk Controls
- RMSB may impose a Reserve to cover potential liabilities (chargebacks, refunds, disputes, regulatory obligations).
- Reserve size, funding method and release conditions are at RMSB’s discretion. Funding can come from withheld portions of settlement, additional capital, or a Guarantee.
- Funds in Reserve remain subject to RMSB’s security interest and may be used to offset any owed amounts.
10. Disputes, Refunds & Reversals
- You remain liable for all Customer disputes, refunds, chargebacks or reversals even after settlement.
- RMSB may deduct disputed amounts from future settlements or Reserve.
- You must provide requested evidence and cooperate within deadlines set by RMSB or Payment Method Providers.
11. Dormant Accounts & Abandoned Funds
- If your Account becomes a Dormant Account (no activity for a defined period), RMSB may suspend or terminate the Account.
- RMSB may deduct applicable fees, attempt to contact you, and if unresponsive, treat remaining balances per unclaimed money laws under the Unclaimed Moneys Act 1965 and potentially handing funds to authorities.
- You forfeit rights to dormant balances until renewed or reactivation accepted by RMSB.
12. Security Interest, Set‑Off & Guarantee
- You grant RMSB Security Interest over all funds, balances, Reserve, upcoming settlements, and monies held in Clearing Accounts on your behalf.
- RMSB may offset any amounts owed by you (fees, fines, chargebacks, regulatory costs) against any such funds including future payouts.
- For high‑risk, high‑volume or flagged Accounts, RMSB may require a Guarantee (personal or corporate) before providing or continuing Services.
13. Data Protection, PCI & Information Security
- You must comply with all applicable data protection and privacy laws. If you store or process card/payment data, you must meet PCI‑DSS (or relevant) standards.
- RMSB may require evidence of compliance, and may suspend Services on non‑compliance or security breaches.
- You must report suspected unauthorized access, data breaches or vulnerabilities to RMSB immediately.
14. Platform, API & Intellectual Property
- All rights, title and interest in the Platform, APIs, Documentation, software, trademarks and materials remain with RMSB.
- You are granted a limited, non-exclusive, non-transferable, and revocable licence to use the same solely for the permitted purposes set out in this ToU.
- You may not reverse‑engineer, copy, resell, distribute, modify, or use the Platform or Services beyond permitted scope.
- Submitted feedback or suggestions may be used by RMSB without compensation.
15. Compliance With Laws & Payment Regulations
- You warrant that your business and Transactions comply with all applicable Malaysian laws, regulations, regulatory guidelines and Payment Method Provider requirements (including AML/CFT, consumer protection, tax laws).
- RMSB may suspend or terminate your Account immediately if legal or regulatory non‑compliance, or risk to RMSB’s license, reputation, or regulatory standing is detected.
16. Service Availability & Support
- RMSB endeavours to provide reliable Services, but makes no warranty of uninterrupted or error‑free operation.
- RMSB may perform maintenance, updates, additions or removals of features with or without prior notice.
- You use Services at your own risk, including any downtime, delays, or interruptions.
17. Suspension, Limitation & Termination
RMSB may suspend or terminate your Account and Services immediately upon:
- breach of any term in this ToU;
- engagement in, or suspected engagement in, any Prohibited Transactions;
- detection or reasonable suspicion of fraud, money laundering, or unauthorised or illegal activity;
- any request, directive, or requirement from a regulatory authority or Payment Method Provider;
- insolvency, bankruptcy, winding up, or any material deterioration in your financial condition;
- prolonged inactivity resulting in classification as a Dormant Account in accordance with RMSB’s policies.
Upon termination or suspension:
- No new Transactions may be accepted;
- RMSB may continue to settle eligible funds or withhold funds for the purposes of dispute resolution, chargebacks, or regulatory compliance;
- You must immediately cease all use of RMSB’s intellectual property, including but not limited to its logos, APIs, and materials;
- RMSB reserves the right to set-off any outstanding obligations against any funds, Reserves, or future settlements;
- All liabilities arising from prior obligations, including disputes, refunds, fees, reversals, and any associated damages, shall survive termination and remain your responsibility.
18. Limitation of Liability & Indemnity
- RMSB shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, business, data, or goodwill, arising out of or in connection with the use of the Services or Products by RMSB.
- You agree to indemnify RMSB against all losses, claims, damages, costs or penalties arising from your breach of this Terms of Use, your business activities, regulatory non‑compliance, Customer disputes, fraudulent or unlawful transactions, or misuse of the services.
19. Amendments to Terms
RMSB may amend these Terms of Use at any time. Amendments will be effective upon posting at RMSB’s website or other communication channels. Continued use of the Services constitutes your acceptance of the updated Terms.
20. Dispute Resolution
All inquiries, complaints, or disputes arising under these Terms and Conditions shall be submitted in writing to RMSB at support@revenuemonster.my. Such communication will serve as the initial step in addressing any matter, and RMSB will make reasonable efforts to respond within a commercially reasonable timeframe. Should any dispute, claim, or controversy remain unresolved, it shall be finally settled through Courts in Malaysia with competent jurisdiction and governed by the laws of Malaysia.
21. Miscellaneous / General Provisions
- If any clause is invalid or unenforceable, the remaining provisions continue in full force and effect.
- These Terms of Use do not, and shall not be construed to, create any partnership, joint venture, or agency relationship between you and us. You are not granted any right or authority to assume or create any obligation or responsibility on our behalf.
- All notices or communications to you may be delivered electronically, including by email, dashboard notifications, or SMS. Such electronic communications shall be considered valid and effective upon transmission.
